By joining and participating in Saracen Creative LLC's ("Company") Affiliate Program (“Program”), you (“Affiliate”) agree to the following terms and conditions (“Agreement”). Please read these terms carefully before participating. If you do not agree, please do not participate in the Program.

Definitions

For the purposes of this Agreement, the following terms shall have the meanings set forth below:

• “Affiliate” means the individual or entity participating in the Program.

• “Affiliate ID” means the unique identifier assigned to you by Systeme.io, which must be included in your affiliate links to ensure proper tracking and credit for referred sales.

• “Affiliate Link” means the unique URL containing your Affiliate ID, provided or generated through Systeme.io, which you must use to promote eligible products in order to receive commission credit.

• “Eligible Product” means any product or service designated by the Company as commissionable under this Program.

• “Systeme.io” means the third-party platform used by the Company to manage affiliate tracking, links, and commission payments.

1. Eligibility & Enrollment

• To participate, you must provide accurate information and agree to these terms by checking the box during sign-up.

• The Company reserves the right to approve or reject any application at its sole discretion.

2. Commissions & Payments

• Commission Rate: You will earn a commission on each sale made through your unique Affiliate Link. The exact percentage of commission will be listed with each product that is available for Affiliate promotion. Commission is only paid on Eligible Products as designated by the Company. Some products or services, such as 1:1 services or certain upsells, may have a 0% commission and will not generate Affiliate earnings. Commission rates are set per product and may be updated at the Company’s discretion. Commission is only paid on Eligible Products as designated by the Company.

• Payment Terms: You’ll be paid out via PayPal on the first business day of each month, with a one-month delay to allow for customer refund requests. For example, earnings from all purchases made between January 1-31 will be paid out to you in March.

• Payment Method: Payments are made via PayPal to the email address you provide during sign-up. You must enter your correct PayPal email address to receive payments. The Company is not responsible for payments sent to incorrect or invalid PayPal addresses provided by the affiliate.

• Tracking: Affiliate tracking, including attribution of sales, is managed entirely by Systeme.io. Systeme.io uses a “last-click” (last cookie) attribution model, meaning the last Affiliate Link clicked by a customer before purchase will receive credit for the sale. You may access your tracking and commission data through the Systeme.io Affiliate dashboard. Saracen Creative LLC does not control or guarantee the accuracy, completeness, or availability of tracking data, and is not responsible for any errors or discrepancies in tracking or reporting.

• Cookie Notification: Affiliate tracking, including attribution of sales, is managed entirely by Systeme.io and relies on cookies. By participating, you acknowledge that cookies are used to track referrals, and you are responsible for informing your audience as required by law.

3. Tax Reporting and Compliance

• Compliance: As an Affiliate, you are responsible for reporting and paying any taxes due on commissions or other payments earned through the Program. In accordance with U.S. law, Saracen Creative LLC may require you to submit a completed IRS Form W-9 (for U.S. persons) or Form W-8BEN (for non-U.S. persons) prior to receiving any payments. If you are a U.S. person and receive $600 or more in commissions in a calendar year, the Company will issue you a Form 1099-NEC as required by law. Failure to provide accurate and complete tax information may result in withholding of payments or removal from the program.

4. Affiliate Obligations

• Compliance: You must comply with all applicable laws and regulations, including the Federal Trade Commission (FTC) guidelines on promotions, endorsements and testimonials. Please ensure you are up-to-date with national and international laws relevant to your promotional activities.

• Email Marketing: If you use email to promote offers, you must comply with all applicable email marketing laws (such as CAN-SPAM and GDPR).

• Disclosure: You must clearly disclose your Affiliate relationship when promoting the Program. Failure to do so may result in removal from the Program and forfeiture of unpaid commissions.

• Promotion: You may only use marketing materials provided or approved by the Company. Misleading, deceptive, or unethical marketing is strictly prohibited.

• Affiliate Link: You are responsible for creating and using the correct Affiliate Link, which includes your unique Affiliate ID and the URL of the Eligible Product you wish to promote. Failure to use the correct Affiliate Link may result in commissions not being tracked or paid.

5. Intellectual Property

• You are granted a limited, non-exclusive, non-transferable license to use the Company’s trademarks and logos solely for promoting offers under this Program.

6. Program Changes & Termination

• The Company reserves the right to modify or terminate the Program, or adjust commission rates, at any time. The Company will make reasonable efforts to provide at least 7 days’ notice of significant changes. Notice will be provided via email to the address on file. It is your responsibility to remain subscribed to the Company’s email list to receive such notifications. The Company is not responsible for any missed notifications due to unsubscribing or email delivery issues.

• Continued participation in the Program after any changes to these terms constitutes your acceptance of the revised terms.

• Either party may terminate participation in the Program at any time, for any reason, by providing written notice, with email being the Company’s preferred method of communication.

• The Company may terminate your participation in the Program immediately for cause, including but not limited to breach of these terms, unethical conduct, or violation of applicable laws.

7. Limitation of Liability

• The Company is not liable for indirect, incidental, or consequential damages arising from your participation in the Program, or for any interruptions, delays, or changes to the Program or its technology.

8. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your participation in the Program, your breach of this Agreement, or your violation of any law or the rights of a third party.

9. Independent Contractor

• You participate as an independent contractor. Nothing in these terms creates a partnership, joint venture, or employment relationship.

10. Notice

• All notices under this Agreement will be sent by email to the address provided by the Affiliate or to the Company’s designated contact email.

11. Governing Law

• These terms are governed by the laws of Rhode Island, USA. Any disputes will be resolved in the courts of Providence County, Rhode Island. If any provision of these terms is found to be unenforceable, the remaining provisions will remain in effect.

12. Severability

• If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
